Having rightly held that, under the first paragraph of Article L. 145-46-1 of the Commercial Code, a public policy provision, a landlord intending to sell its commercial premises must first notify the tenant of an offer to sell which may not include negotiation fees, and having noted that the tenant had informed the landlord of its acceptance to purchase at the sale price alone, the court of appeal correctly inferred that the sale was complete.
